returns on Titan Crypto of up to 2,700 percent, a number based on a &#8220;purely hypothetical account.&#8221;<\/p>\n<p>Titan Global Capital Management provided investment strategies to clients and prospective clients solely through a mobile app, the SEC said.<\/p>\n<p>According to the Wall St watchdog, Titan neglected to tell its retail investors that the &#8220;2,700 percent&#8221; Titan and its Indemnified Persons will not be liable for any indirect, special, incidental, non-compensatory, punitive or consequential damages or other losses (regardless of whether such damages or other losses were reasonably foreseeable).&#8221;<\/p>\n<p>This is a problem because advisers have a fiduciary duty not to mislead their clients into giving up their legal rights, the SEC says, adding in its order that it believes Titan&#8217;s hedge clause violated Section 206(2) of the Advisers Act.<\/p>\n<div aria-hidden=\"true\" class=\"adun\" data-pos=\"top\" data-raptor=\"falcon\" data-xsm=\",fluid,mpu,\" data-sm=\",fluid,mpu,\" data-md=\",fluid,mpu,\"> <noscript> <a href=\"https:\/\/pubads.g.doubleclick.net\/gampad\/jump?co=1&amp;iu=\/6978\/reg_security\/cybercrime&amp;sz=300x50%7C300x100%7C300x250%7C300x251%7C300x252%7C300x600%7C300x601&amp;tile=4&amp;c=44ZOT15oiXPlWzAoqCLfqtpgAAAUA&amp;t=ct%3Dns%26unitnum%3D4%26raptor%3Dfalcon%26pos%3Dmid%26test%3D0\" target=\"_blank\" rel=\"noopener\"> <img decoding=\"async\" src=\"https:\/\/pubads.g.doubleclick.net\/gampad\/ad?co=1&amp;iu=\/6978\/reg_security\/cybercrime&amp;sz=300x50%7C300x100%7C300x250%7C300x251%7C300x252%7C300x600%7C300x601&amp;tile=4&amp;c=44ZOT15oiXPlWzAoqCLfqtpgAAAUA&amp;t=ct%3Dns%26unitnum%3D426raptor%3Dfalcon%26pos%3Dmid%26test%3D0\" alt> <\/a> <\/noscript> <\/div>\n<p>That particular act is actually new legislation brought in by the SEC last year, and Titan Global Capital Management is the first to come a cropper under it, says the agency. The amendments to the Investment Advisers Act are supposed to replace &#8220;broadly drawn limitations&#8221; in the current rules \u2013 which hadn&#8217;t been updated since 1940 \u2013 with more principles-based provisions.<\/p>\n<p>Among the situations the new marketing rule is trying to prevent is when financial advisers, in pushing their wares, make &#8220;an untrue statement of a material fact,&#8221; or discuss potential benefits &#8220;without providing fair and balanced treatment of any associated material risks or limitations.&#8221; There&#8217;s more on the new regs <a target=\"_blank\" href=\"https:\/\/www.sec.gov\/news\/press-release\/2020-334\" rel=\"noopener\">here<\/a>.<\/p>\n<p>The regulator called the charges a &#8220;warning&#8221; to investment advisers about how they can market offerings. Osman Nawaz, SEC Chief of Enforcement&#8217;s Complex Financial Instruments Unit, said in a statement: &#8220;Titan&#8217;s advertisements and disclosures painted a misleading picture of [certainty] of its strategies for investors.&#8221;<\/p>\n<p>The agency said Titan &#8220;cooperated with the investigation&#8221; and under the order consented to the entry of the finding that it violated the Advisers Act.<\/p>\n<p>It went on to allege that after conducting compliance reviews, Titan discovered a &#8220;widespread practice of applying client signatures to client account documents submitted alt> <\/a> <\/noscript> <\/div>\n<p>It also noted that, since July of 2022, Titan had &#8220;voluntarily undertaken remedial measures to improve its compliance programs.&#8221;<\/p>\n<p>Titan now has to transfer just over $1 million into a &#8220;Fair Fund&#8221; account, says the order.<\/p>\n<p>The SEC said: &#8220;Without admitting or denying the SEC&#8217;s findings, Titan agreed to a cease-and-desist order, a censure, and to pay $192,454 in disgorgement, prejudgment interest and an $850,000 civil penalty that will be distributed to affected clients.&#8221;<\/p>\n<p>We&#8217;ve
